The Paralegal role

 

Qlik is seeking a skilled and detail-oriented Paralegal to provide support to the Legal Department. The ideal candidate will have a strong understanding of international corporate governance, equity plan administration and legal invoicing. Prior experience with a legal e-billing software platform such as Legal Tracker is required. Experience with Boardvantage, CSC, Adobe, and Shareworks is a plus. Must be proficient in Office 365 applications. This role will be instrumental in providing administrative support to the Chief Legal Counsel and the Global Corporate Paralegal. The successful candidate will be able to effectively collaborate with various internal teams and external clients.

 

Here’s how you’ll be making an impact:

  • Assist in general domestic and international corporate housekeeping, including the drafting of corporate documents, the filing of certificates of incorporation/formation and qualifications to do business, the preparation of bylaws resolutions, minutes of meetings, amendments, withdrawals, mergers and dissolutions.
  • Responsible for annual corporate reporting and compliance with various state and country requirements.
  • Maintain minute books and other corporate records, including the preparation of Board of Director, Stockholder and Committee meeting minutes.
  • Reponses to KYC/AML requests.
  • Maintenance of global signatory authority database.
  • Maintain a web-based global entity management system and electronic database of corporate documents, including minutes and related records of all domestic and international subsidiaries.
  • Assist in due diligence processes, including data room management, for corporate transactions, including mergers, acquisitions, and corporate financing.
  • Administer company equity program.
  • Assist with litigation management and subpoena requests.
  • Act as the point of contact for legal invoice matters.
  • Maintain legal department files and databases.
  • Support the Facilities team with real estate corporate matters.
  • Support other Legal team projects, transactions, and other ad-hoc projects, as needed.

 

We’re looking for a teammate with:

 

  • Bachelor’s Degree and ABA Paralegal Certificate OR equivalent qualifications acquired through coursework and related job experience required.
  • 5-10 years of paralegal experience with an in-house legal department.
  • A strong understanding of corporate law and governance principles and proficiency in legal entity management and compliance in the U.S., and one or more of Europe, Asia Pacific, and Latin America regions required.
  • Notary Public in Pennsylvania is a requirement.
  • Strong interpersonal skills, and ability to communicate and collaborate with individuals at all levels in and out of the organization.
  • Detail-oriented, organized, efficient and resourceful with strong follow-through skills.
  • Team player who brings a positive, "can do" attitude to the workplace and works. collaboratively with other members of the global legal team and with internal and external clients.
  • Excellent analytical and problem-solving skills.
  • Demonstrated ability to work in a fast-paced, growth-oriented organization.
  • Comfort with ambiguity and the ability to work through challenging situations.
  • Able to maintain a high level of confidentiality, exercise discretion and show good judgment.
  • Independence, exceptional organization skills, and meticulous attention to detail.
  • Proven experience handling confidential and sensitive information with the ability to exercise discretion and show good judgment; honesty, integrity, and trust building behaviors in all dealings is essential and required.
  • Ability to multi-task and shift priorities quickly while working under tight deadlines.

The anticipated base salary range for this role is $90,000 – 105,000 per year.  Final compensation offered by Qlik will be based on factors such as the candidate’s location, job-related skills, education, experience, and other business and organizational needs. Qlik offers a comprehensive benefits package.
